Digital Tools Terms of Use

1. Acceptance of these Terms

These Terms of Use (“Terms”) govern your access to and use of the digital tools made available by MoCA Test Inc. (“MoCA Cognition”, “we”, “our”, or “us”), including XpressO™, CHAI™, and any other digital tools that we may make available from time to time (collectively, the “Digital Tools”).

These Terms should be read together with the Digital Tools Privacy Policy, which explains how MoCA Cognition collects, uses, discloses, stores, and otherwise processes information in connection with the Digital Tools. The Digital Tools Privacy Policy forms an integral part of these Terms and is incorporated into these Terms by reference.

By accessing or using the Digital Tools, you acknowledge that you have read and understood these Terms and the Digital Tools Privacy Policy and agree to be bound by them. If you do not agree, you must not access or use the Digital Tools.

2. Access Through Third-Party Partners

The Digital Tools may be made available through the website or platform of one of MoCA Cognition’s commercial, healthcare, research, or other strategic partners (each, a “Partner”).

Although you may access the Digital Tools through a Partner, the Digital Tools are owned, operated, and hosted by MoCA Cognition. These Terms and the Digital Tools Privacy Policy govern your use of the Digital Tools.

Your use of a Partner’s website or platform remains subject to that Partner’s own terms of use, privacy policy, and other applicable policies.

3. About the Digital Tools

The Digital Tools include digital tools designed to support cognitive health, such as questionnaires, cognitive exercises, cognitive assessments, and related functionality, depending on the specific Digital Tool being used.

The Digital Tools are intended to support cognitive health awareness and provide information relating to cognitive health. They are not intended to replace the advice, diagnosis, or treatment of a qualified healthcare professional.

Unless expressly stated otherwise, the Digital Tools do not diagnose any disease or medical condition and should not be relied upon as the sole basis for medical decision-making.

4. Information and Privacy

To provide streamlined access to the Digital Tools, MoCA Cognition does not ask you to create an account or provide your name, email address, or other direct personal identifiers when using the Digital Tools through a Partner.

Depending on the Digital Tool you access, MoCA Cognition may collect information provided through or generated by your use of the Digital Tools, including questionnaire, cognitive exercise, and assessment responses, demographic information, technical information about your device and browser, and other information described in the Digital Tools Privacy Policy.

As part of the standard operation of the Digital Tools, MoCA Cognition does not intentionally disclose your personal information to the Partner through which you accessed the Digital Tools. Partners may receive aggregated and de-identified information relating to the overall use of the Digital Tools by users referred through the Partner. Such information may include usage statistics, completion rates, outcome distributions, aggregated demographic summaries, and other statistical information that does not identify any individual, as agreed between MoCA Cognition and the applicable Partner.

If you later choose to register for and access the Digital Tools through the MoCA Cognition portal, your use of the portal and certain features may be governed by separate terms of use and privacy policies.

5. Permitted Use

You may use the Digital Tools only for their intended purpose and in accordance with these Terms.

You agree that you will not:

  • use the Digital Tools for any unlawful or unauthorized purpose;
  • interfere with or disrupt the operation, security, or availability of the Digital Tools;
  • attempt to gain unauthorized access to the Digital Tools or related systems;
  • copy, reproduce, modify, distribute, reverse engineer, decompile, or create derivative works from the Digital Tools except as permitted by applicable law; or
  • use automated means, including bots, crawlers, or scraping tools, to access or use the Digital Tools.

6. Intellectual Property

The Digital Tools, including all software, content, text, graphics, questionnaires, cognitive exercises, assessments, reports, results, algorithms, trademarks, logos, and other intellectual property associated with them, are owned by or licensed to MoCA Cognition and are protected by applicable intellectual property laws.

Subject to these Terms, MoCA Cognition grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Digital Tools for their intended purpose. No ownership rights are transferred to you.

7. Availability of the Digital Tools

MoCA Cognition may modify, update, suspend, discontinue, or restrict access to all or any part of the Digital Tools at any time, with or without notice, including to perform maintenance, implement improvements, address security concerns, or comply with legal or regulatory requirements.

MoCA Cognition does not guarantee that the Digital Tools, or any feature or content thereof, will always be available, uninterrupted, secure, or error-free.

8. Medical Disclaimer

The Digital Tools are provided for informational purposes only.

The Digital Tools do not establish a healthcare provider-patient relationship and are not intended to replace medical advice, diagnosis, or treatment.

Always seek the advice of a qualified healthcare professional regarding any medical concerns or before making healthcare decisions based on information obtained through the Digital Tools.

If you believe you are experiencing a medical emergency, contact your local emergency services immediately.

9. Disclaimer of Warranties

The Digital Tools are provided on an “as is” and “as available” basis to the fullest extent permitted by applicable law. MoCA Cognition makes no representation or warranty regarding the uninterrupted availability, accuracy, completeness, reliability, or fitness of the Digital Tools for any particular purpose.

10. Limitation of Liability

To the maximum extent permitted by applicable law, MoCA Cognition shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenue, business opportunity, goodwill, data, or other intangible losses, arising out of or relating to your access to or use of, or inability to access or use, the Digital Tools.

Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law, including liability arising from fraud, fraudulent misrepresentation, or any other liability that applicable law does not permit to be excluded or limited.

11. Changes to these Terms

MoCA Cognition may update these Terms from time to time. The revised version will be made available through the Digital Tools and will indicate the date of the latest revision. Your continued use of the Digital Tools after the revised Terms become effective constitutes your acceptance of the revised Terms.

12. Governing Law

These Terms and any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Digital Tools shall be governed by and construed in accordance with the laws of the Province of Québec and the federal laws of Canada applicable therein, without regard to its conflict of law rules. Subject to any mandatory rights or remedies available to you under applicable consumer protection laws, you agree that the courts located in the Province of Québec, Canada, shall have exclusive jurisdiction to resolve any dispute arising out of or relating to these Terms or your use of the Digital Tools.
